Terms of Sale

1. The agreement

An order placed through the site is an offer to purchase. A binding contract is formed only when we confirm the order and issue an invoice, or when the goods are dispatched, whichever is earlier. We may decline or limit any order at our discretion, including where stock, documentation, or eligibility checks are not satisfied.

2. Eligibility and Buyer status

Products are offered exclusively to qualified institutional and laboratory research buyers. By registering and at checkout you self-attest, and this attestation is recorded with a timestamp as an auditable record, that:

• you are 21 years of age or older;
• you are acquiring the products solely as reference materials for in-vitro laboratory or analytical research use;
• you will not use, resell, or supply the products for human or animal use, consumption, diagnostic, or therapeutic purposes; and
• you are authorised to bind the institution on whose behalf you order.

3. Products and documentation

Products are supplied as reference materials only, as further described in our Research-Use Policy. Each batch is accompanied by a Certificate of Analysis (COA) reporting identity and purity (e.g. by HPLC, and MS where indicated) and, where applicable, a Safety Data Sheet (SDS). Lot-level results may additionally be listed with independent verification directories (such as Finnrick and Peptigrity). Specifications relate to the specific lot supplied.

4. Orders, quotes and purchase orders

You may reference a purchase order (PO) number at checkout, which we will reproduce on the corresponding invoice. Quotes are valid for the period stated on them or, if none, for 14 days. We reserve the right to correct manifest pricing or description errors before dispatch.

5. Pricing, VAT and reverse-charge

Prices are quoted in euros (EUR) and displayed inclusive of applicable VAT for consumer-facing display. VAT is charged in accordance with the EU VAT Directive (2006/112/EC):

• domestic Portuguese supplies are charged at the applicable Portuguese VAT rate (currently 23%);
• for intra-EU business buyers who provide a VAT number validated via the EU VIES system, the supply is treated as subject to the reverse-charge mechanism (Article 196), and VAT is accounted for by the Buyer in the Buyer's member state;
• supplies to destinations outside the EU are treated as outside the scope of EU VAT (export); and
• the Buyer is responsible for any import duties, taxes, or clearance charges arising in the destination country.

6. Payment

Payment is made by bank transfer (SEPA where available) against the invoice and the unique payment reference we issue. We do not accept card payments. Orders are reserved and dispatched once the corresponding transfer is received and matched to its reference. Net payment terms apply only where expressly granted in writing. Risk in the goods passes to the Buyer on dispatch; title passes once payment has been received in full.

7. Shipping and delivery

Goods ship from Portugal. Delivery timeframes are estimates. Further detail, including handling of damaged or incorrect shipments, is set out in our Shipping & Returns policy, which forms part of these Terms.

8. Research-use restriction

Your purchase and use of the products is subject to our Research-Use Policy, which forms part of these Terms. You are solely responsible for ensuring that your acquisition, possession, and use of the products complies with all laws and institutional requirements applicable to you.

9. Warranties and disclaimers

We warrant that, at dispatch, the products conform to the identity and purity stated on the corresponding COA. To the fullest extent permitted by law, and except as expressly stated, the products are supplied “as is”, and we disclaim all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We give no warranty in respect of any use inconsistent with the Research-Use Policy.

10. Limitation of liability

To the fullest extent permitted by applicable law, our total liability arising out of or in connection with any order shall not exceed the amount paid for that order, and we shall not be liable for any indirect, incidental, or consequential loss. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence or for fraud.

11. Indemnity

You agree to indemnify us against claims, losses, and costs arising from your breach of these Terms or the Research-Use Policy, or from any use of the products for a purpose for which they are not supplied.

12. Governing law, disputes and changes

These Terms are governed by the laws of Portugal, and the courts of Lisbon have jurisdiction, without prejudice to any mandatory consumer-protection rights. We may amend these Terms from time to time; the version in force is the one published here, identified by its “last updated” date.
